The paperwork was submitted on April 25, and mentions Ian Hathaway, the OpenAI Startup Fund\u2019s manager and sole partner.<\/p>\n<p>The capital was transferred to a legal entity called a special purpose vehicle, or SPV, associated with the OpenAI Startup Fund: OpenAI Startup Fund SPV II, L.P.<\/p>\n<p>SPVs allow multiple investors to pool their resources and make an investment in a single company or fund. In the VC sector, they\u2019re sometimes used to invest in startups that don\u2019t fit a fund\u2019s strategy or that fall outside a fund\u2019s terms. SPVs can also be marketed to a wider range of non-institutional investors.<\/p>\n<p>It\u2019s the second such time the OpenAI Startup Fund has raised capital through an SPV \u2014 the first time <a href=\"https:\/\/www.businessinsider.com\/openai-vc-fund-raised-10-million-spv-from-2-investors-2024-2\" target=\"_blank\" rel=\"noopener\">being<\/a> in February for a $10 million tranche.<\/p>\n<p>The OpenAI Startup Fund, whose portfolio companies include legal tech startup <a href=\"https:\/\/techcrunch.com\/2022\/11\/23\/harvey-which-uses-ai-to-answer-legal-questions-lands-cash-from-openai\/\" target=\"_blank\" rel=\"noopener\">Harvey<\/a>, <a href=\"https:\/\/techcrunch.com\/2024\/02\/06\/ambience-healthcare-raises-70m-for-its-ai-assistant-led-by-openai-and-kleiner-perkins\/\" target=\"_blank\" rel=\"noopener\">Ambiance Healthcare<\/a> and humanoid robotics firm <a href=\"https:\/\/techcrunch.com\/2024\/02\/29\/figure-rides-the-humanoid-robot-hype-wave-to-2-6b-valuation-and-openai-collab\/\" target=\"_blank\" rel=\"noopener\">Figure AI<\/a>, came under scrutiny last year after it was revealed that OpenAI CEO Sam Altman had long legally controlled the fund. While marketed like a standard corporate venture arm, Altman raised capital for the OpenAI Startup Fund from outside limited partners, including Microsoft (a close OpenAI partner and investor), and had the final say in the fund\u2019s investments.<\/p>\n<p>Neither OpenAI nor Altman had \u2014 or have \u2014 a financial interest in the OpenAI Startup Fund. But critics nonetheless argued that Altman\u2019s ownership amounted to a conflict of interest; OpenAI claimed that the general partner structure was intended to be \u201ctemporary.\u201d<\/p>\n<p>In April, Altman <a href=\"https:\/\/techcrunch.com\/2024\/04\/01\/sam-altman-gives-up-control-of-openai-startup-fund-resolving-unusual-corporate-venture-structure\/\" target=\"_blank\" rel=\"noopener\">transferred formal control<\/a> of the OpenAI Startup Fund to Hathaway, previously an investor with the VC firm Haystack, who\u2019d played a key role in managing the Startup Fund since 2021.<\/p>\n<p>As of last year, the OpenAI Startup Fund \u2014 whose ventures also include an incubator program called <a href=\"https:\/\/techcrunch.com\/2023\/12\/13\/openai-launches-second-converge-startup-cohort\/\" target=\"_blank\" rel=\"noopener\">Converge<\/a> \u2014 had $175 million in commitments and held $325 million in gross net asset value<a href=\"https:\/\/adviserinfo.sec.gov\/firm\/summary\/318221\" target=\"_blank\" rel=\"noopener\" data-mrf-link=\"https:\/\/adviserinfo.sec.gov\/firm\/summary\/318221\">.<\/a> It\u2019s backed well over a dozen startups including Descript, a collaborative multimedia editing platform valued at $553 million last year; language learning app <a href=\"https:\/\/techcrunch.com\/2023\/08\/31\/openai-backed-language-learning-app-speak-raises-16m-to-expand-to-the-u-s\/\" target=\"_blank\" rel=\"noopener\">Speak<\/a>; AI-powered note-taking app <a href=\"https:\/\/techcrunch.com\/2022\/11\/10\/ai-powered-note-taking-app-mem-raises-23-5m-openai\/\" target=\"_blank\" rel=\"noopener\">Mem<\/a>; and IDE platform <a href=\"https:\/\/techcrunch.com\/2023\/10\/11\/anysphere-raises-8m-from-openai-to-build-an-ai-powered-ide\/\" target=\"_blank\" rel=\"noopener\">Anysphere<\/a>.<\/p>\n<p>OpenAI hadn\u2019t responded to TechCrunch\u2019s request for comment as of publication time.
