Neither company has disclosed the exact reasons for the contract\u2019s termination or its timing, though APM cited \u201cchanging market dynamics\u201d and Audacy referred to the deal as \u201conerous.\u201d The public radio broadcaster will take ad sales and brand partnerships for its podcasts in-house as a result.<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">\u201cGiven the changing market dynamics, APMG, Audacy and Cadence13 have mutually decided to end their partnership, effective August 31st, 2023. Moving forward, APMG will conduct all sales and brand partnerships of our award-winning slate of podcasts and branded content, as well as manage ad sales for all podcast inventory. We have planned for this operational shift to ensure a seamless transition for our audiences and underwriters. The podcasting arm of APM would team up with Cadence13 to develop and produce new shows, while Cadence13 would serve as the public radio giant\u2019s sole podcast ad sales rep. The public radio network\u2019s premium podcast programming, which includes <em>Marketplace Minute<\/em> and <em>In Deep<\/em>, could benefit from the reach and scale of Audacy\u2019s audio and ad networks. But that\u2019s not what happened.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component clear-both block md:float-left md:mr-30 md:w-[320px] lg:-ml-100\">\n<div class=\"duet--article--article-pullquote mb-20\">\n<p class=\"duet--article--dangerously-set-cms-markup relative bg-repeating-lines-dark bg-[length:1px_1.2em] pb-8 font-polysans text-28 font-medium leading-120 tracking-1 selection:bg-franklin-20  dark:bg-repeating-lines-light dark:text-white dark:selection:bg-blurple\">\u201cWe believe exiting this agreement will have a positive impact on our Podcast margins.\u201d<\/p>\n<\/div>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">In a quietly published <a href=\"https:\/\/audacyinc.com\/press\/audacy-reports-second-quarter-results-3\/\" target=\"_blank\" rel=\"noopener\">earnings release<\/a> last week, Audacy CEO David J. Field revealed that the company exited an \u201conerous Podcast ad representation contract,\u201d costing the company roughly $10.4 million during the second quarter \u2014 but didn\u2019t disclose the name of the company associated with the contract. \u201cIn June, we successfully negotiated an early exit to an onerous Podcast ad representation contract, which resulted in a restructuring charge of $5.9 million in the quarter and the accelerated recognition of $4.5 million of prepaid content expense. We believe exiting this agreement will have a positive impact on our Podcast margins, without materially impacting our future Podcast revenue growth opportunity,\u201d <a href=\"https:\/\/audacyinc.com\/press\/audacy-reports-second-quarter-results-3\/\" target=\"_blank\" rel=\"noopener\">wrote<\/a> Field in a statement.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">During its prior earnings calls, Audacy only referred to its contract with APM twice in the span of two years \u2014 according to <a href=\"https:\/\/capedge.com\/transcript\/1067837\/2023Q1\/AUDA\" target=\"_blank\" rel=\"noopener\">transcripts<\/a> on CapEdge. The first time was immediately following the official announcement of the deal during the company\u2019s <a href=\"https:\/\/capedge.com\/transcript\/1067837\/2021Q2\/AUDA\" target=\"_blank\" rel=\"noopener\">second quarter earnings call<\/a> in 2021. And the second time was during the following quarter <a href=\"https:\/\/capedge.com\/transcript\/1067837\/2021Q3\/AUDA\" target=\"_blank\" rel=\"noopener\">after<\/a> the deal went into effect. Meanwhile, the company continued to tout podcast revenue growth and partnerships with the likes of Amazon, HBO, Major League Baseball, and Netflix to investors.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">But the company\u2019s financial outlook took a grim turn. In July 2022, Audacy\u2019s stock price began creeping below $1 a share \u2014\u00a0finally reaching a new low of 31 cents in October. During that same month, <em>Axios<\/em> <a href=\"https:\/\/www.axios.com\/2022\/10\/04\/audacy-sale-cadence13-podcasts\" target=\"_blank\" rel=\"noopener\">reported<\/a> that Audacy had hired bankers to explore a sale of Cadence13.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">Audacy lost a number of large <a href=\"https:\/\/rbr.com\/audacy-misses-analyst-forecasts-in-q3-as-stock-dips-further\/\" target=\"_blank\" rel=\"noopener\">clients<\/a> that it acquired as a result of its 2019 acquisition of Cadence13 \u2014 including <a href=\"https:\/\/variety.com\/2022\/digital\/news\/crooked-media-siriusxm-podcast-deal-1235212034\/\" target=\"_blank\" rel=\"noopener\">Crooked Media<\/a> and <a href=\"https:\/\/www.pushkin.fm\/news\/iheartmedia-and-pushkin-industries-announce-partnership\" target=\"_blank\" rel=\"noopener\">Pushkin Industries<\/a>. Chief financial officer Richard J. Schmaeling briefly cited these losses during a November 2022 earnings call. \u201c[&#8230;our podcast business has been rough because we\u2019ve had a number of large clients that we acquired as part of Cadence13 that have exited over the years because we really [couldn\u2019t] meet their expectations for added revenue share. And we\u2019ve suffered the loss of those revenues,\u201d Schmaeling told investors. Podcasting revenue dipped a staggering 23 percent for this quarter, <a href=\"https:\/\/rbr.com\/audacy-misses-analyst-forecasts-in-q3-as-stock-dips-further\/\" target=\"_blank\" rel=\"noopener\">according<\/a> to the <em>Radio+Television Business Report<\/em>.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">By 2023, Audacy\u2019s accelerated podcast expenses drew questions from investors. Major media and technology companies all took a hit due to the year\u2019s soft advertising market. While Audacy didn\u2019t sell Cadence13, it did make some major restructuring changes. Cadence13\u2019s co-founder Chris Corcoran departed the company in March, and Pineapple Street Studios\u2019 Jenna Weiss-Berman was <a href=\"https:\/\/finance.yahoo.com\/news\/audacy-names-jenna-weiss-berman-143700357.html\" target=\"_blank\" rel=\"noopener\">promoted<\/a> to Audacy\u2019s executive vice president of podcasts \u2014 overseeing both Pineapple Street and Cadence13.<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">\u201cPodcasting is clearly laggard at the moment. We\u2019ve learned a lot really, frankly since we acquired Cadence13, and the company is a lot smarter today about how we\u2019re going to participate in the podcast space going forward,\u201d Schmaeling told investors during a May 2023 earnings call.\u00a0<\/p>\n<\/div>\n<div class=\"duet--article--article-body-component\">\n<p class=\"duet--article--dangerously-set-cms-markup duet--article--standard-paragraph mb-20 font-fkroman text-18 leading-160 -tracking-1 selection:bg-franklin-20 dark:text-white dark:selection:bg-blurple [&amp;_a:hover]:shadow-highlight-franklin dark:[&amp;_a:hover]:shadow-highlight-blurple [&amp;_a]:shadow-underline-black dark:[&amp;_a]:shadow-underline-white\">The New York Stock Exchange <a href=\"https:\/\/www.businesswire.com\/news\/home\/20230516006040\/en\/NYSE-to-Suspend-Trading-Immediately-in-Audacy-Inc.-AUD-and-Commence-Delisting-Proceedings\" target=\"_blank\" rel=\"noopener\">suspended<\/a> trading on Audacy\u2019s stock this spring and began proceedings to delist it, citing its \u201cabnormally\u201d low stock price. The company announced a <a href=\"https:\/\/finance.yahoo.com\/news\/audacy-inc-announces-1-30-120000676.html\" target=\"_blank\" rel=\"noopener\">1-for-30 stock split<\/a> at the end of June, and its stock price has crept up since then.
